The short version: use the site in good faith, and don’t hold us liable for what we put up here.
These terms cover use of the website — not the work we do for paying clients, which is governed by a separate Statement of Work. They’re written in plain English because legalese makes it harder to know what you’re agreeing to.

Who we are
Umber Studio (“Umber”, “we”, “us”) is a web design studio based in Toronto, Ontario, Canada. You can reach us at Sam@umberdesignstudio.com. These terms apply to everyone who visits or uses umberdesignstudio.com.

Using the site
By browsing the site or submitting the audit form, you agree to these terms. If you don’t agree with any part of them, the right move is to not use the site.

What this site is (and isn't)
This is the marketing site for Umber’s services. Browsing the site, downloading anything from it, or filling out the audit form does not create a client relationship and is not a binding service agreement.
Paid engagements are governed by a separate written Statement of Work signed by both sides. Until that exists, nothing on this site commits Umber to building, hosting, or maintaining anything for you.

Concept and speculative work
Pages under /work/…/live are concept builds created to demonstrate Umber’s capabilities. Brand names, addresses, photography, testimonials, and trade likenesses on those pages are illustrative.
Unless we explicitly say otherwise on a given page, those concept sites are not endorsements of, partnerships with, or live deployments for the businesses or industries they reference.

Journal and AI Assistant content
The Journal and AI Assistant pages are informational only, and parts of them may be generated or assisted by AI. Nothing on the site is legal, financial, medical, accounting, or business advice.
Decisions you make based on anything you read here are your own. For decisions that matter, talk to a qualified professional.

Intellectual property
The site’s design, code, copy, illustrations, and the Umber name and mark are owned by Umber Studio. You may share links to our pages freely.
You may not copy, scrape, retransmit, republish, or train models on our content without written permission. Quoting a sentence with attribution is fine; lifting a page is not.

Your submissions
When you submit the audit form, you confirm that the information you’re sharing (your name, email, current site URL, industry, and project notes) is yours to share, and you grant Umber the right to use it for the purpose of replying to you and assessing the project.
How that data is stored and shared is described on the Privacy page.

Acceptable use
Don’t scrape the site, run automated probes against it, attempt to disrupt it, or use any submission form to send spam, unlawful content, or anything you don’t have the right to send.
We may block access from any source that does, without notice.

Third-party links and services
Outbound links and embedded services we use — including Resend (transactional email), Vercel (hosting), and Google Tag Manager when you accept analytics on the consent banner — are governed by their own terms and privacy policies.

No warranties
The site is provided as is. We don’t guarantee that it will always be available, free of bugs, or that the content is current and accurate at every moment.

Limitation of liability
To the maximum extent permitted by applicable law, Umber’s total liability arising out of or relating to your use of this website is capped at CAD $100. We are not liable for indirect, incidental, special, consequential, or punitive damages.
Nothing in these terms limits any rights you have under mandatory consumer-protection law that cannot be waived by contract.

Indemnification
If a third party brings a claim against Umber because of how you used the site — for example, by submitting content you didn’t have the right to share — you agree to cover our reasonable costs of dealing with it.

Changes to these terms
We may update these terms from time to time. When we do, we’ll change the “last updated” date at the top of the page. Continuing to use the site after a change means you accept the new version.

Governing law
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in it. The courts of Ontario have exclusive jurisdiction over any dispute arising out of or relating to these terms or the site.
